Legacy CRM-AMS — Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Legacy CRM-AMS software platform (the “Platform”), a subscription service operated by Legacy Agent LLC (“Legacy,” “we,” “us,” or “our”).
By creating an account or accessing the Platform, you (“User,” “Agent,” or “Agency”) agree to these Terms.
1. Description of Service
Legacy CRM-AMS is a subscription-based, cloud-hosted customer-relationship and agency-management system designed for insurance agents and agencies contracted with Legacy Agent LLC.
The Platform allows users to manage leads, clients, policies, and related business information under Legacy’s carrier hierarchy.
2. Eligibility and Access
Use of the Platform is limited to agents and agencies who maintain an active contracting relationship within the Legacy Agent LLC hierarchy.
Legacy reserves the right to verify contracting status at any time.
3. Subscription Plans and Billing
- Subscription Fees: Access to the Platform is provided on a recurring subscription basis.
- Agent Plan (Legacy CRM): $34.99 per month.
- Agency Plan (Legacy CRM): $39.99 per month.
- Legacy Connect Add-On: $58.99 per month (optional; includes integrated communications features).
- Legacy Pro Bundle: $85.00 per month (includes Agent Plan and Legacy Connect).
- Power BI Analytics Add-On: $20.00 per month (optional).
- Producer Qualification Program: Legacy Agent LLC may offer reduced or waived subscription fees for certain plans based on monthly production thresholds (“Producer Qualification”).
- Producer Qualification criteria, thresholds, and eligibility requirements are published separately and may be updated from time to time.
- Qualification determinations are made solely by Legacy Agent LLC based on production data recorded within the Platform.
- Production calculations are based exclusively on business entered, updated, and reflected as in-force within the Platform during the applicable reporting period.
- Legacy Agent LLC reserves the right to modify qualification thresholds, calculation methods, and eligibility criteria with notice.
- If qualification requirements are not met for a given billing period, standard subscription pricing applies.
- Agency Qualification: Agency-level qualification standards, if applicable, are determined separately and may differ from individual Agent qualification criteria.
- Trials and Promotions: Free-trial or beta access may be offered at Legacy’s discretion. New Users may receive a 30-day free trial.
- Subscriptions convert to paid status on the 1st of the month following the trial unless canceled beforehand.
- A valid payment method may be required at sign-up.
- Billing Cycle: Subscriptions are billed monthly or annually (if selected). Charges are processed automatically on the billing date, which is the 1st of each month.
- Cancellations: Users may cancel at any time through the processor customer portal or by written notice to

4. Contracted Carriers and Availability
The Platform includes access only to carriers and products for which the agent or agency holds an active appointment under Legacy Agent LLC’s hierarchy.
Legacy does not offer availability of all carriers, products, or rates outside that structure.
5. Data Ownership and Use
- Agent/Agency Data Ownership: Agents and agencies retain full ownership of their client, policy, and production data (“User Data”).
- License to Legacy: By using the Platform, Users grant Legacy a limited license to host, back up, and process User Data solely for operating the Platform.
- Data Portability: Users may export their data upon request or termination. Legacy will not sell, share, or use User Data for purposes unrelated to the Platform.
- Privacy Policy: Data handling practices are further described in our Privacy Policy.
6. Account Security
Users are responsible for maintaining secure login credentials and for all activity under their account.
Legacy may require multi-factor authentication for security purposes.
7. Acceptable Use
Users agree not to:
- Misuse the Platform for unlawful, fraudulent, or competitive purposes;
- Upload malicious code or interfere with system performance; or
- Share login credentials with unauthorized persons.
Legacy reserves the right to suspend access for violations of these Terms.
8. System Availability and Updates
Legacy aims for continuous uptime but does not guarantee uninterrupted service.
Features and integrations may be added, modified, or discontinued with notice.
9. Limitation of Liability
To the fullest extent permitted by law, Legacy Agent LLC and its affiliates are not liable for indirect, incidental, or consequential damages arising from Platform use.
Total liability shall not exceed the fees paid by the User in the three months preceding the claim.
10. Termination
Legacy may terminate or suspend access with notice if the User breaches these Terms or ceases to maintain a contracting relationship with Legacy Agent LLC.
11. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
Any disputes shall be resolved in the courts located in Oakland County, Michigan.

Effective Acceptance
By accessing or using the Legacy CRM-AMS Platform, you acknowledge that you have read, understood, and agree to these Terms of Service.
